Business terms

The agreement between your business and Zubio, covering subscriptions, deposits, refunds and how we process your customers’ data. Last updated 11 October 2026.

1. These terms

These business terms are an agreement between the business that registers on Zubio for Business ("you", "the business") and ZUBIO TECHNOLOGIES ENTERPRISE LTD (RC 9824321) ("Zubio", "we", "us"). They apply when you use the Zubio for Business web and tablet apps to run your business, take bookings and collect deposits. The data processing annex at the end is part of these terms.

The person who accepts these terms confirms they are authorised to bind the business. If you use Zubio only to book appointments for yourself, the customer terms apply instead. How we handle personal data is set out in our privacy policy.

2. What Zubio is — and is not

Zubio provides software: a booking calendar, a public listing, a public booking link, deposit collection through our payment processor, messaging, sales recording and business reporting. You are an independent business, not our agent or employee. You set your own prices, services, staff, opening hours and cancellation policies, and you — not Zubio — are responsible for the services you provide to your customers.

3. Your account and your staff

  • The business is registered by an owner, who must give accurate details about the business and keep them up to date. An owner must verify their email address before the account can be used.
  • Owners can invite managers, receptionists and other staff. You are responsible for everything done under your business account, including by the staff you invite, and for removing access promptly when someone leaves.
  • Keep passwords confidential and tell us at support@zubioapp.com if you believe an account has been compromised.

4. Subscriptions and billing

Plans

Zubio for Business is sold on monthly plans, per business: Starter at ₦5,000 per month, Standard at ₦10,000 per month and Premium at ₦20,000 per month. Multi-branch business groups are billed per active branch. The features included in each plan are shown in the app when you choose a plan.

Free trial

Every plan begins with a 30-day free trial, with no card required to start. If you do not subscribe by the end of the trial, the account simply stops taking new bookings — we do not charge you automatically for a trial you did not convert.

Billing

Subscriptions are billed monthly in advance through our payment processor. When you add a card you authorise us to charge it each month until you cancel. Prices are in Naira and exclusive of any applicable VAT. We may change prices, but not mid-term: a change takes effect at your next renewal and we will give you at least 30 days' notice.

If a renewal payment fails we will tell you and retry. If it is still unpaid after a 7-day grace period, the business is hidden from customers and stops taking new bookings until the subscription is paid. Access comes back as soon as it is.

Cancelling

You may cancel at any time. Your account stays active until the end of the period you have paid for, and we do not refund part-months. Your data remains available for export for 30 days after the subscription ends.

5. Deposits and payouts

To collect deposits, a business must add a Nigerian bank account (the "payout account") held in the business's or its owner's name. We verify it with the bank through our payment processor. Only an owner of the business can add or change this account, and each change must be confirmed with a one-time code sent to the owner's email address. We notify the business's owners whenever the account changes.

  • Deposits are collected by our payment processor and held by Zubio until 48 hours after the appointment’s scheduled start. We then pay them into your payout account by bank transfer, normally grouping the deposits that are due into one payout.
  • The processor's transaction fee on each deposit, and the bank transfer fee on each payout, are deducted from the amount paid to you. Zubio takes no commission on deposits.
  • You are responsible for keeping your bank details accurate. We cannot recover a payout made into an account you gave us. If a payout fails, we hold the money and try again once the account is corrected.
  • Customers are told before they pay that a deposit is non-refundable if they cancel or do not turn up. Those deposits are paid to you as normal.
  • When you cancel a paid booking, we refund the full deposit to the customer automatically and it is not paid out to you.
  • Customers can report a problem with a booking until its deposit is due for payout. While we look into it, that deposit is held back from your payouts. We may ask you for information. We decide whether to refund all, part or none of the deposit to the customer, and pay out whatever is not refunded.
  • If a deposit already paid to you is later refunded because of a chargeback, or because we upheld a problem reported against a booking you cancelled after payout, we may recover that amount from your future payouts or ask you to repay it.

6. Your obligations as a business

  • Honour bookings made through the platform, and keep your availability, services, prices and photos accurate.
  • Treat a deposit as part payment towards the booked service, not an extra charge.
  • Pay your staff what you owe them. Commission, payroll, sales and profit figures in Zubio are a calculation tool; the employment relationship, and your tax and accounting obligations, are yours.
  • Hold the licences, registrations and insurance your trade requires, and comply with the consumer protection, health and safety and other laws that apply to your services.
  • Upload only content you have the rights to, and do not misrepresent your business, your work or your prices.
  • Handle your customers' personal data lawfully, as set out in the data processing annex.

7. Reviews

Only customers who actually booked and attended may review your business. You may not write reviews of your own business, ask or pay anyone to write them, or offer anything in return for a positive review. We remove reviews that are unlawful, abusive, or that we have good reason to believe are fake. We do not delete a truthful negative review at a business's request. You can report a review you believe breaks these rules.

8. Acceptable use

Do not use Zubio to break the law, to harass anyone, to publish availability you do not intend to honour, to circumvent deposits or fees, to scrape or copy the platform, to probe or interfere with our systems, or to message customers with marketing they have not agreed to receive.

We have zero tolerance for objectionable content and abusive users. That includes harassment, threats, hate speech, sexual content and spam, in reviews, replies or messages. Customers can report you and block you from messaging them. We review every report within 24 hours, remove content that breaks these terms, and suspend or close the accounts of businesses that post it.

9. Intellectual property and your content

The Zubio platform, name, logo and software are ours, and we license them to you for the length of your subscription to run your business. Your business name, logo, photos, service descriptions and other content stay yours. You grant us a non-exclusive, royalty-free licence to host, display and reproduce that content within the platform and to promote your listing on Zubio, for as long as it is on Zubio.

10. Availability

We work to keep Zubio available and your data safe, but we do not promise uninterrupted service. We may suspend access for maintenance or for security, and will minimise disruption and give notice of planned maintenance where we can. We may change or improve features over time; if we remove a feature your plan depends on, we will tell you in advance.

11. Liability and indemnity

Nothing in these terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

Subject to that:

  • Zubio is provided "as is". We do not warrant that it will meet every business need or that it will be error-free.
  • We are not liable for indirect or consequential loss, loss of profit, revenue, bookings or goodwill, or for losses caused by your customers, your staff, or our payment processor.
  • Our total liability to you in any 12-month period is limited to the subscription fees you paid us in that period.
  • You will compensate Zubio for claims, losses and costs arising from the services you provide to your customers, from your breach of these terms or of the law, from content you upload, and from chargebacks on deposits paid out to you.

12. Suspension and termination

You may close your business account at any time. We may suspend or close a business account that breaches these terms, that has an unpaid subscription past the grace period, that customers repeatedly report for not honouring bookings, or where we are required to by law. We will tell you why, unless we are legally prevented from doing so.

When an account closes, we pay out the deposits we hold for you once their 48-hour hold has passed and any reported problems are decided. Any amount you owe us for refunded deposits remains owed, and the data processing annex continues to apply to customer data until it is deleted.

13. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have jurisdiction over any dispute arising from them. Before going to court, both sides agree to try to resolve a dispute by contacting the other in writing and negotiating in good faith for 30 days.

14. Changes

We may update these terms. The date at the top shows when they last changed, and for a material change we will give at least 30 days' notice in the app or by email before it takes effect. If you do not accept a change you may cancel before it takes effect; continuing to use Zubio after that means you accept the updated terms.

15. Contact

Questions about these terms: support@zubioapp.com.

Annex: Data processing

This annex applies to the personal data of your customers and staff that you or your staff put into Zubio, or that customers give when booking with you — for example client names, contact details, booking history, notes, walk-in sales and staff records ("business data").

Roles

For business data, you are the data controller and Zubio is your data processor under the Nigeria Data Protection Act 2023 (NDPA). Where Zubio uses personal data for its own purposes — running customer accounts, fraud prevention, moderation, billing you, or meeting our legal obligations — Zubio is a controller and our privacy policy applies.

Your responsibilities

  • Have a lawful basis for the business data you collect and put into Zubio, and tell your customers how you use it.
  • Collect only what you need, and keep it accurate.
  • Answer requests from your customers to access, correct or delete their data. We will give you reasonable help to do so.

Our commitments

  • Instructions. We process business data only to provide Zubio to you, as described in these terms, and on your documented instructions, unless the law requires otherwise.
  • Confidentiality. Only Zubio personnel who need access to provide or support the service can access business data, and they are bound by confidentiality.
  • Security. We protect business data with appropriate technical and organisational measures, including encryption in transit and at rest, hashed passwords, managed secrets and restricted production access.
  • Sub-processors. You authorise us to use the sub-processors listed in our privacy policy — including Amazon Web Services (hosting, in the EU (Ireland) region), our payment processor, Amazon Simple Email Service and Expo. We hold each to data-protection obligations no weaker than this annex, and will update that list before adding a new sub-processor.
  • International transfers. Business data is processed outside Nigeria, in AWS's EU (Ireland) region, under the safeguards the NDPA permits.
  • Breaches. We will tell you without undue delay, and in any case within 48 hours, after becoming aware of a personal data breach affecting business data, with the information you need to meet your own notification duties.
  • Assistance. We will give you reasonable help with data-subject requests, data protection impact assessments and enquiries from the Nigeria Data Protection Commission.
  • Deletion. When your account closes, you may export your data for 30 days. After that we delete or anonymise business data, except records we must keep by law, such as transaction records for tax and accounting purposes.
  • Audit. We will make available the information reasonably needed to show we meet this annex, on reasonable written request.
